We would like to inform you that at the Board of Directors meeting held on July 11, 2022, the MDV Group resolved to establish the “Sustainability Promotion Committee” (hereinafter referred to as “the Committee”).

1. Purpose of establishing a committee

The Group contributes to improving the quality of medical care by making effective use of medical care and health information, and at the same time, by promoting a society in which individuals can grasp their own medical care and health information throughout their lives. We consider creating a society where you can choose services in the healthcare field as a social contribution, and we are working to achieve this vision.
Consequently, achieving both the realization of a sustainable society and the enhancement of corporate value is an important element of a company as a member of society, and it is necessary to establish and promote a basic framework that is close to a sustainable society. This committee will be established to achieve such a goal.

2. The role of the committee

As a subordinate organization of the Board of Directors, this committee plans and formulates overall plans, strategies, and measures for the Group's sustainability promotion activities, monitors their progress, evaluates their achievements, and regularly publishes the contents to the directors. It shall report and make recommendations to the Board of Directors’ Meetings.

3. Composition of committee members

This committee is chaired by the President and Representative Director, and is attended by directors and executive officers of the Company, department managers who supervise risk and compliance, and full-time corporate auditors.

4. Committee composition

As a subordinate organization of this committee, we will establish subcommittees to formulate activity policies and monitor each field on important company-wide themes. The subcommittees consist of the following three groups and promotes the Group's sustainability measures toward the realization of a sustainable society.

5. Role of each subcommittee

“Subcommittee for Environmental Consideration and Achievement of Sustainable Society”

The Subcommittee will verify the environmental impact and risks for the Group's business activities, regularly check the business opportunities, and promote efforts to reduce greenhouse gas emissions and reduce the environmental burden of our business activities. At the same time, the Subcommittee will promote the decision of procurement policy and activities in accordance with the achievement of a sustainable society.

“Subcommittee on the protection and proper use of intellectual property”

We will promote the protection and use of intellectual property owned by the Group and the appropriate use of intellectual property owned by outside parties.

“Subcommittee on Utilization of Human Resources and Promotion of Diversity”

Formulation and operation of policies for the active optimization of the Group's human resources. The Subcommittee will implement various measures such as in-house seminars and in-house training to promote education and enlightenment activities to respect human rights and diversity, accept diversity among employees, and realize a work environment where individual abilities can be fully demonstrated.
